1. AGREEMENT TO TERMS
These Terms of Use ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Oaklyne e-Commerce Inc., a federally incorporated Canadian corporation with its principal office in the Province of Ontario (operating as "Oaklyne," the "Company," "we," "us," or "our"), governing your access to and use of www.oaklyne.com and all related services, content, functionality, products, and applications (collectively, the "Site").
By using Oaklyne, creating an account, or placing an order, you agree to these Terms and our applicable policies.

- Direct Sales: For products available directly on the Site, Oaklyne e-commerce Inc. acts as the merchant and seller of record and oversees checkout, payment processing, customer service, and order fulfillment.
- Curated Recommendations & External Links: From time to time, the Site may feature curated recommendations or partner collaborations containing links to external brand platforms. For purchases completed on external third-party platforms, the respective third-party merchant is the seller of record, and their terms and policies govern the transaction.
4. ACCOUNT REGISTRATION & SECURITY
Certain features and purchasing capabilities require account registration. You agree to:
- Provide truthful, accurate, and up-to-date information during registration.
- Maintain the strict confidentiality and security of your login credentials.
- Promptly notify Oaklyne at support@oaklyne.com of any suspected unauthorized access or security breach.
- Accept responsibility for all activities and transactions conducted under your account. We reserve the right to suspend or terminate accounts that violate these Terms.
- You may not be responsible for transactions resulting from unauthorized access where you have promptly notified us and applicable law provides otherwise.
5. PRICING, TAXES, AND PAYMENT
- Currency: All prices on the Site for Canadian orders are displayed and charged in Canadian Dollars (CAD).
- Taxes: Applicable federal and provincial sales taxes (GST, HST, PST, or QST) are calculated and collected at checkout based on the shipping destination.
- Pricing Errors: We may correct obvious typographical or technical errors in pricing before an order is accepted, subject to applicable consumer protection laws.
- Payment Processing: Payments are handled securely through certified PCI-DSS compliant third-party payment processors (including Visa, Mastercard, American Express, PayPal, and Apple Pay).
6. ORDER ACCEPTANCE AND CANCELLATION
The receipt of an order confirmation does not signify our final acceptance of your order. An order is accepted only when:
- The order has been verified and processed; and
- The product has been dispatched with a valid tracking confirmation.
We reserve the right to refuse, limit, or cancel orders at our sole discretion due to inventory shortages, suspected fraudulent transactions, or pricing inaccuracies.
7. SHIPPING AND RISK OF LOSS
All physical product shipments are governed by our Shipping & Returns Policy. For direct sales, title and risk of loss pass to the customer upon handover of the parcel to the logistics carrier. Delivery timelines are estimates only and are not guaranteed.
8. RETURNS, REFUNDS, AND CONSUMER RIGHTS
- Direct Sales: Return and refund requests are subject to our official Shipping & Returns Policy (offering a 30-day return window for eligible items).
- Third-Party Purchases: Purchases made on external partner websites are governed by the respective merchant's terms.
- Statutory Consumer Rights: Nothing in these Terms limits, restricts, or excludes any mandatory consumer protection rights or statutory warranties provided under applicable Canadian federal or provincial consumer protection legislation.
9. USER CONTENT AND REVIEWS
You may have the opportunity to submit ratings, reviews, questions, or comments ("User Content").
- License Grant: By submitting User Content, you grant Oaklyne e-Commerce Inc. a non-exclusive, worldwide, royalty-free license to use, reproduce, display and distribute the content for operating, promoting and improving Oaklyne and its services.We will not materially alter the meaning of your review in a misleading manner.
- User Responsibility: You represent and warrant that you own or have the necessary rights to your User Content and that it does not infringe on third-party intellectual property or violate any applicable laws.
10. INTELLECTUAL PROPERTY RIGHTS
All materials and content on the Site—including trademarks, logos, brand names, text, graphics, user interfaces, photographs, videos, and underlying source code—are owned by or licensed to Oaklyne e-commerce Inc. and are protected by Canadian and international copyright, trademark, and intellectual property laws.
- Restrictions: You may not copy, reproduce, scrape, reverse engineer, republish, download, or distribute Site materials without prior written consent from Oaklyne.
11. PROHIBITED CONDUCT
When using the Site, you agree not to:
- Engage in any unlawful, fraudulent, or deceptive activities.
- Post false, defamatory, obscene, harassing, or misleading reviews or comments.
- Use web scrapers, crawlers, spiders, or automated bots to extract data from the Site.

13. DISCLAIMER OF WARRANTIES
To the maximum extent permitted by applicable law, the Site, Services, and products are provided on an "as is" and "as available" basis. Oaklyne expressly disclaims all warranties, representations, and conditions of any kind—whether express, implied, statutory, or collateral—including but not limited to implied warranties of merchantability, fitness for a particular purpose, durability, and non-infringement, except where prohibited by applicable consumer protection laws.
14. LIMITATION OF LIABILITY
To the maximum extent permitted by applicable law, in no event shall Oaklyne e-commerce Inc., its directors, officers, employees, or agents be liable for any indirect, incidental, special, punitive, exemplary, or consequential damages arising out of or related to your use of the Site or products purchased.
Our total aggregate liability for all claims arising under or relating to these Terms shall not exceed the greater of:
- The total amount paid by you to Oaklyne for the purchase giving rise to liability in the twelve (12) months preceding the claim; or
- CAD $100.00.
(Note: Certain provincial consumer protection laws, such as in Quebec, do not allow limitations on statutory warranties or liability for certain damages. If these laws apply to you, some of the above limitations may not apply).
15. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless Oaklyne e-commerce Inc., its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising from:
- Your misuse of the Site or violation of these Terms;
- Your breach of any third-party rights (including intellectual property or privacy rights); or
- Any unlawful conduct committed through your account.
16. DISPUTE RESOLUTION
Except where prohibited by applicable provincial consumer protection laws:
- Any dispute, controversy, or claim arising out of or relating to these Terms or your use of the Site shall first be submitted to our customer care team for good-faith resolution.
- If a resolution cannot be reached informally, disputes may be submitted to binding arbitration or adjudicated in the competent courts of Ontario, Canada.
- To the extent permitted by law, you agree that any proceeding will be conducted solely on an individual basis and not as a class action or representative proceeding.
17. GOVERNING LAW AND JURISDICTION
These Terms and all disputes arising hereunder shall be governed by, construed, and enforced in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to principles of conflicts of law. You agree to submit to the exclusive jurisdiction of the provincial and federal courts located within the Province of Ontario, Canada.
18. FORCE MAJEURE
Oaklyne shall not be held liable or responsible for any failure or delay in performance caused by events beyond our reasonable control, including acts of God, extreme weather events, labour strikes, shipping disruptions, government orders, power failures, or telecommunications breakdowns.
19. MODIFICATION OF TERMS
We reserve the right to modify or update these Terms at any time. Material changes will be published on this page with an updated Effective Date. Your continued use of the Site after changes are posted constitutes your binding acceptance of the updated Terms.
20. TERMINATION
We reserve the right to suspend, restrict, or terminate your account and access to the Site at our sole discretion, without prior notice, for conduct that violates these Terms or harms our platform, users, or business interests.
21. SEVERABILITY
If any provision of these Terms is found to be invalid, unlawful, or unenforceable by a court of competent jurisdiction, that provision shall be severed, and the remaining provisions shall continue in full force and effect.
22. ENTIRE AGREEMENT
These Terms, together with our Privacy Policy and Shipping & Returns Policy, constitute the entire and exclusive agreement between you and Oaklyne e-commerce Inc. regarding your use of the Site.
